Role Summary & Purpose

The JELD-WEN North American Legal team provides a wide range of legal services in areas of commercial and corporate law, procurement, sales, dispute resolution, commercial leasing, company secretarial, intellectual property support, compliance, training, and employment. Reporting to the Senior Corporate Counsel – Contracts, this role will support the effective delivery of strategic services to the JELD-WEN North American business units to help the business achieve its goals. Team collaboration with other JELD-WEN business units and the broader global JELD-WEN Legal team will be required from time to time.

The Contracts Manager – North America will manage the North America Region’s Contract Process, including the intake, negotiation, review, and approval process of contracts of varied complexity and size across our North American operations. Predominately covering sales and procurement contracts, but also occasionally services, this position’s primary purpose is to enhance the capability of our commercial business clients and teams by providing timely advice and contract expertise. This role will manage a central email address and disseminate legal questions and requests to the respective responsible party (attorney, contract manager, etc.), populate and update entries in the department’s matter management system, evaluate/revise/negotiate contracts of varying complexity through execution, and escalate contract-related concerns, as necessary, in addition to all other duties as assigned. The Contracts Manager – North America will also generate and maintain contract analytics using the legal department’s matter management tools.

The ability to develop great relationships internally and externally, while adding value to the business and delivering support services that ensure that contractual KPIs, compliance, and other legislation requirements are met within approved financial parameters will be key for success in this role.  #LI-TG1

Critical Performance Objectives

  • Strategy and Culture: Consult, guide, advise and coach internal stakeholders on legal policies, procedures, and practices related to contracts.
  • Performance: Meet contract objectives, timelines, and goals. Drive continuous improvement initiatives in the contract management process.
  • Compliance: Ensure that all contracts, policies, operational licenses, procedures, practices and other documentation meet JELD-WEN’s policy and regulatory requirements.

 

Key Accountabilities / Responsibilities

  • Act as a primary point of contact for contract intake and processing of commercial contracts, providing timely and responsive support to commercial contract negotiations in accordance with corporate and/or business unit guidelines and company policies.
  • Reviewing, advising, and negotiating a wide variety of commercial contracts including but not limited to sales agreements, supply agreements, goods and services agreements, non-disclosure agreements.
  • To create and manage productive relationships and effectively communicate with JELD-WEN service providers, colleagues, and stakeholders in order to energize and influence others deliver excellent results
  • To liaise directly with third-party legal representatives to facilitate the contracts process
  • Identify and provide direction on business terms that impact the assumption and/or mitigation of contractual, performance, or other risks.
  • Establishing and actively, through training or other direct communications, promoting the Company’s contracts policies to minimize the Company’s legal exposure.
  • Update policies and guides and provide training to business clients.
  • To report on the status of contracts and plans, including coordination of regular service provider reviews to evaluate performance KPIs and other metrics
  • Providing legal support on projects and other company initiatives as determined by the North American legal team and business unit needs.

Experience / Knowledge

  • Minimum – 5 years’ experience working as a Contracts Manager, or similar role, in an in-house legal team or within the building and construction industry, with primary responsibilities being contract negotiation, administration and/or management.
  • Proficient in drafting and editing a wide variety of contracts across various disciplines.
  • Demonstrated negotiation and problem-solving skills, including experience of utilizing alternative solutions to address risks and needs
  • Experience working in a multi-national manufacturing business or similar complex organization and systems in a rapidly changing environment would be an advantage.
  • Systems - Sound knowledge of Microsoft Office Suite. Exposure to matter management software (ASCENT a plus), online collaboration tools, and SAP are all advantages but not essential.
  • Communication – strong communication, negotiation, drafting and presentation skills; confident and influential communicator.
  • Time Management – Ability to manage various deadlines and a strong commitment to delivering to targets in a fast-pace environment.

 

Education / Qualifications

  • A legal or business-related degree or commensurate experience is essential.
  • A post-graduate qualification or accredited training in Contract Law is desirable.
  • Robust skills in Microsoft Office software, including Outlook, Word, Excel, PowerPoint, and Teams.
  • Advanced knowledge of matter management software and expert proficiency in working with database platforms.
  • Superior research skills, including web-based legal research tools.

 

Language Skills

  • Must be fluent in both written and spoken English (French and/or Spanish a plus).
